Terms and Conditions

\n\n \n\n**THESE TERMS AND CONDITIONS** govern the legally binding relationship between VCSphere Ltd. a company duly existing under the laws of Liechtenstein and with its registered office at\nBahnstrasse 3, 9494 Schaan, Liechtenstein (“VCS”) operating an internet marketplace under the brand name “Spryr”, retrievable under the Website (“Spryr”), and its Customers.\n\n \n\nAny access to Spryr and/or use of any of the functionalities, services and products offered by VCS (“Services”) are subject to full, unconditional, and validly expressed acceptance and \nconfirmation of these Terms by the respective Customer.\n\n \n\nThese Terms constitute the entire terms and conditions between VCS and each Customer with regard to access and/or use of the Services. No other general terms or conditions shall apply \nfor the relations set herein, unless expressly consented prior by VCS. These Terms shall be available and accessible on the following web address: [https://spryr/terms](/info/terms-and-conditions)\n \n\nBy confirmation of these Terms each Customer concludes an agreement with VCS to use the functionalities of the Services, which agreement shall be under the following terms and conditions:\n\n \n\n#### I.\tDEFINITIONS\n \n\nUnless the context otherwise requires, the following capitalized terms shall have the following meanings:\n\n \n\n1. Accommodation Fee(s) – shall refer to the fee(s), due from the Customer for any Accommodation Service purchased by the Customer through Spryr, which is indicated by the respective Accommodation Provider to \nVCS through the API (or through other communication means) and further displayed for sale on Spryr to the Customer.\n \n\n2. Accommodation Provider(s) – shall refer to any Person which is, directly or indirectly, offering and/ or selling Accommodation Services through Spryr.\n \n\n3. Accommodation Service(s) – shall mean any accommodation service provided to Customers, including but not limited to: accommodation in resort, hotel, motel, apartment, villa, or other place of lodging and any additional services offered, directly to VCS by the Accommodation Provider or indirectly through third parties, including but not limited to upgrades, incidental charges, additional luggage, priority seating, meals, mini-bar, dry cleaning and laundry, transportation and any other travel or related product or service as from time to time available, offered or sold to a Customer through Spryr.\n \n\n4. Affiliate – shall mean any Person directly or indirectly controlling or controlled by or under direct or indirect common control with such specified Person. For the purposes of this definition, “control” when used with respect to any specified Person means the power to direct the management and policies of such Person, directly or indirectly, whether through the ownership of voting securities, by contract or otherwise; and the terms “controlling” and “controlled” have meanings correlative to the foregoing.\n \n\n5. AML-KYC Policy – shall refer to the rules and policies, as amended from time to time, to prevent illegal activity, including anti-money laundering (“AML”), counter-terrorist financing (“CFT”) and know your customer (“KYC”) procedures required by any company acting as payment service provider for VCS from time to time. At present Stripe acts as payment service provider for VCS and ensures full compliance with applicable AML, CFT, and KYC legislation. Further information shall be available and accessible at [https://stripe.com/at/legal/ssa](https://stripe.com/at/legal/ssa) and [https://stripe.com/privacy](https://stripe.com/privacy), and which are incorporated herein by reference.\n \n\n6. API (Application programming interface) – shall for the purpose of these Terms refer to a software communication system, which provides connectivity and communicational channel regarding Accommodation Services between VCS and the Accommodation Providers.\n \n\n7. Basic Data – shall mean the registration data required from the Customer for purchasing Accommodation Services, which can be gathered either at Registration.\n \n\n8. Booking – shall refer to each request of a Customer, electronically submitted through Spryr to purchase Accommodation Service(s).\n \n\n9. Booking Confirmation – shall refer to the confirmation of any Booking of Accommodation Services, of which the Customer shall be informed through email to the email address provided at Registration. Booking shall only become binding when and if a Booking Confirmation is sent to and received by Customer.\n \n\n10. Cookie Policy - shall refer to the rules and policies of VCS, as amended from time to time, to describe what cookies are and how VCS collects information, including the type of cookies used, from Customers and how the information of Customers is used. By choosing to access Spryr without blocking or deactivating the cookie or choosing other technologies to avoid the cookie, you agree to the use thereof and collection of personal data in accordance with the Cookie Policy and our Privacy Policy. Cookie Policy shall be available and accessible at [https://spryr.com/cookie-policy](/info/cookie-policy).\n \n\n11. Customer – shall refer to each Person, which accesses and/or uses any of the Services, including but not limited to the functionalities of Spryr for the purposes of reviewing and/or purchasing of Accommodation Services.\n \n\n12. Force Majeure – shall be any event which is beyond the reasonable control of VCS and/ or any Accommodation Provider and which affects the ability of VCS and/ or the respective Accommodation Provider to fulfil some of their obligations under these Terms or provide any of the Accommodation Services purchased. Force Majeure shall include without limitation: natural disasters (earthquakes, floods, fires), pandemic or epidemic restrictions or global or local travel bans; wars, riots, strikes, acts of terrorism, lockdowns, governmental restrictions, transport bans and/ or border closing, Acts of God, suspension of service which VCS cannot control such as system shutdown or technical problem caused by the suppliers of VCS, bankruptcy, insolvency or cessation of trade of any carrier and/ or supplier used by VCS or other events beyond the reasonable control or remedy of VCS.\n \n\n13. Non-Refundable Booking – shall mean a Booking, for which, if cancelled by the Customer after Booking Confirmation, the Customer shall not be entitled to receive any refund or part of the amounts paid by the Customer in regard to such Accommodation Service.\n \n\n14. Payment Provider – shall refer to any company acting as payments service provider for VCS from time to time. At present Stripe Inc. or their subsidiaries, as found on their official website [https://stripe.com](https://stripe.com), acts as payment service provider for VCS and is referred to when using the term Payment Provider.\n \n\n15. Person – shall mean any individual over the age of 18, corporation, partnership, limited liability company, joint venture, association, joint stock company, trust, unincorporated organization or government or any agency or political subdivision thereof.\n \n\n16. Prepaid Deal – shall refer to any Accommodation Services purchased through the Website, where the payment of the Accommodation Fee shall be procured by the Customer to the Payment Provider.\n \n\n17. Privacy Policy – shall refer to the rules and policies of VCS, as amended from time to time, for processing, administration, storage and deletion of Customer’s personal data. Privacy Policy shall be available and accessible at [https://spryr.com/privacy](/info/privacy-policy).\n \n\n18. Provider’s Terms – shall refer, where applicable, to the terms and conditions of Accommodation Providers, which the Customer requires to explicitly approve and consent to as a condition for booking certain Accommodation Services.\n \n\n19. Registration – shall refer to the process of creation of a Spryr Account and/or verification of Customer’s identity, by means of username and password generated directly through Spryr or upon submission of a Booking.\n \n\n20. Reservation – shall refer to each request of a Customer, electronically submitted through Spryr to purchase Accommodation Services, which shall be held available for the requesting Customer for Booking for a certain period of time.\n \n\n21. Sanctioned Countries – shall mean each country, state and/ or jurisdiction, which is subject to international sanctions imposed by either the United Nations and/or European Union and/or the United States of America.\n \n\n22. Service(s)- shall mean any of the functionalities, services and products offered by Spryr to Customers from time to time.\n \n\n23. Social Networks Authentication – shall refer to the process of creation of Customer’s Spryr Account and/or verification of Customer’s identity through integrated internet-based social media such as Facebook, Twitter and Google and others as indicated from time to time by VCS.\n \n\n24. Spryr Account – shall refer to an account with Spryr through which the Customer may book Accommodation Services and use other functionalities on the Website as available from time to time.\n \n\n25. Taxes – shall include all regulatory taxes, which are in fixed percentage of the respective chargeable payment and typically include taxes imposed over sales of products such as Value Added Tax (EU) or Sales Tax (USA).\n \n\n26. Terms – shall refer to these terms and conditions and as amended from time to time.\n \n\n27. Variable Fees and Charges – shall include those fees, taxes and charges, which are usually not included in the Accommodation Fee and are usually dependent on various entities and factors, such as resort or hotel policies and tariffs, city and jurisdictional fees and taxes etc. Variable Fees and Charges shall include but not be limited to: City tax, Tourist tax, Local tax, Lodging tax, Transient Occupancy tax, Municipality fee, Property/Hotel fee, Environmental fee, Resort fee (also known as a facility fee, a destination fee, an amenity fee, an urban fee or a resort charge).\n \n\n28. Website – shall refer to the official website [https://spryr.com/](https://web-sit.spryr.com).\n\n\n \n\n#### II.\tGENERAL PROVISIONS\n\n \n\n1.\tVCS is an innovative travel and hospitality marketplace and trading platform, which offers all Customers access to various Accommodation Services for promotional prices.\n \n\n2.\tBy accessing or using the Website, the Customer agrees that the Customer has read, understood, and accepted all of these Terms, as well as any other supplemental policy referenced or incorporated herein, including but not limited to the Cookie Policy, Privacy Policy, Payment Provider’s AML-KYC Policy, Provider’s Terms, and such other rules and policies in effect from time to time. \n \n\n3.\tEach Customer acknowledges and understands that functionalities of the Website can only be used by Customers when the rules and conditions herein described are fully met by the Customer respectively obliged under the corresponding clause of these Terms.\n\n\n \n\n#### III.\tACCESS TO WEBSITE\n\n \n\n1.\tThe Customers acknowledge that any Person can access the Website and review Accommodation Services on offer. Obtaining a Spryr Account is not necessary for such review. For avoidance of any doubt, Booking of Accommodation Services on offer shall be available for any Person only after Registration is completed under these Terms.\n \n\n2.\tUpon Registration, any Customer shall freely and willingly provide its Basic Data for the purposes of obtaining a Spryr Account. By accepting these Terms, the Customer agrees to disclose Customer’s residency in the Registration process. The Basic Data must be true and accurate and in accordance with the Customer’s national jurisdiction as of Registration and Booking.\n \n\n3.\tVCS has full discretion to determine and/or to change the requirements for Registration and update the Registration process from time to time.\n \n\n4.\tFaulty Basic Data may cause consequences for which VCS cannot be held liable. Therefore, VCS won’t allow any Customer to proceed with any Bookings should such Customer abstain from declaring the Basic Data on the Website. In case any financial damage occurs due to false Basic Data declaration, it will be covered by the Customer in full and such Customer indemnifies and hold VCS harmless from and against all damages, costs, and expenses in connection with same.\n \n\n5.\tAny and all data gathered from a Person to the extent it qualifies as personal data under GDPR, shall be stored and processed in accordance with the Privacy Policy of VCS.\n \n\n6.\tRegistration with VCS and Bookings may only be made by Persons with full legal and contractual capacity and capability and in accordance with the laws of their national jurisdiction.\n \n\n7.\tA corporate entity shall be considered legally capable if it is fully incorporated and existing under the laws of the country of its incorporation and if the Registration with VCS is conducted on behalf and on account of this entity by its legal representative.\n \n\n8.\tLegal and contractual capability of natural persons shall be in accordance with the laws of their country of nationality and/ or domicile, but in all cases a natural person shall not be considered legally capable if it is less than 18 years of age. Persons that meet the jurisdictional age criteria for legal capability shall be considered capable, until proven otherwise.\n \n\n9.\tEach Customer, if legally capable under the laws of its jurisdiction of seat, domicile and/ or nationality, shall be solely responsible to check and ascertain if it is also legally capable under the laws of any other jurisdiction, where Accommodation Services shall be used by this Customer trough the Marketplace. VCS shall not be in any way responsible if any Customer is in violation of any such jurisdiction legal capability laws and regulations and/ or if such Customer cannot use any Accommodation Service reserved and/ or paid due to incapability.\n \n\n10.\tEach Customer is obliged to access its Spryr Account only personally or through a duly authorized representative. The Customer will be solely obliged to keep its access data protected and VCS bears no liability whatsoever for any misuse of Customer’s Spryr Account by an unauthorized third party or any other unauthorized actions performed through the Spryr Account of the Customer by such third party.\n\n\n \n\n#### IV.\tOFFERED ACCOMMODATION SERVICES\n\n \n\n1.\tThe contractual provisions and conditions of Accommodation Services accessible at Spryr may vary as each Accommodation Service shall be offered under the rules, regulations and Provider’s Terms of the specific Accommodation Provider. The contractual provisions and conditions applicable on a specific Accommodation Service shall be displayed before Booking and will be confirmed to the Customer in the Booking Confirmation. In case of any contradiction between the Terms and the Provider’s Terms, the Provider’s Terms shall prevail over the Terms. \n \n\n2.\tVCS shall not be held responsible for the content of any offer of an Accommodation Service through Spryr. Should at any point in time VCS has reasonable suspicions that certain Accommodation Services offered through Spryr either: (i) contains false or misleading information, or (ii) is related to crime or administrative violation, or (iii) has content that is contradictory to any of the provisions of these Terms, VCS has the full right to suspend the publication and availability of any such offer of Accommodation Service, until proven otherwise. VCS shall have the right to also suspend or delete any publication of Accommodation Services in case VCS receives act of competent court or other legitimate administrative body requesting suspension or deletion of such offer.\n\n\n \n\n#### V.\tRESERVATION AND BOOKINGS OF ACCOMMODATION SERVICES\n \n\n1.\tCustomers shall have the option to review Accommodation Services available at Spryr, as well as to select and purchase certain Accommodation Services by making of a Reservation through the Marketplace. \nVCS and/ or Accommodation Provider has the right to reject or cancel any booking of an Accommodation Service if it is established that the Customer has provided false, misleading and /or inaccurate information. If such act of the Customer might constitute a fraud or other crime, VCS has the full right to report such suspicions to the competent authorities.\n \n\n2.\tCustomer can select an offered Accommodation Service and choose between all variable options for Accommodation Services existent in such offer before finalizing the booking of the Accommodation Service. Before completion of the Booking the following information will be indicated to the Customer: \n \n\n 2.1. \tthe amount of the Accommodation Fee;\n \n\n 2.2. \tthe amount of Taxes;\n \n\n 2.3. \tthe amount of Variable Fees and Charges (to the extent indicated below in the section Prices & Fees);\n \n\n 2.4. \tterms of payment (e.g. Prepaid Deal);\n \n\n 2.5. \tProvider’s Terms, if applicable;\n \n\n 2.6. \tcancellation policy, if applicable.\n \n\n3.\tWhen the Customer selects the required Accommodation Services, the Customer will submit the Booking of the Accommodation Service to VCS by clicking on the respective button, available on the Website. The Customer hereby acknowledges that Bookings will be completed only based on the necessary Basic Data and Additional Data information provided by the Customer.\n \n\n4.\tSubmitting of the Booking shall only be considered as a request for delivery of Accommodation Service under the conditions specified in the Terms but will be binding for VCS and the respective Accommodation Provider only upon receipt of a Booking Confirmation by Customer. No obligations for delivery of any Accommodation Service shall arise for VCS and/ or any Accommodation Provider until the respective Booking is confirmed through VCS by Booking Confirmation via email to the email address provided by the Customer in its Basic Data. \n \n\n5.\tThe Customer hereby understands and acknowledges that submission of the Booking shall constitute only a request for the respective Accommodation Service but shall be not binding until receipt of the Booking Confirmation. VCS reserves the right to decline any submitted Booking placed with it through the Services without giving reasons. \n \n\n6.\tThe Booking Confirmation shall confirm all the information indicated to the Customer before completion of the Booking containing information, including but not limited to, as follows: accommodation information: name of the accommodation, category, address, location and telephone number; Customer’s information: Booking owner; check-in and check-out dates; room type; and such other information required or useful from time to time; and a reference number.\n \n\n7.\tUpon receipt of the Booking Confirmation, the Customer may only cancel the booked Accommodation Service if cancellation option is available for the respective Accommodation Service. When cancellation option exists, it will be exercisable under the conditions indicated in the Booking Confirmation for the respective Accommodation Service and for the respective cancellation fees and/ or penalties (when such fees or penalties are fixed as a condition for cancellation).\n \n\n8.\tCertain Bookings shall be valid and considered completed only if and when the Customer confirms the respective Provider‘s Terms, when this Accommodation Provider explicitly requires such confirmation. VCS won’t be held liable for any clauses, terms, conditions, or regulations in such Provider’s Terms, even if such clauses, terms and conditions or regulations are contradictory to these Terms or to any law or regulation active in any jurisdiction.\n \n\n9.\tOnly Accommodation Services displayed on the Website can be selected and booked through VCS. The electronic process for making new Bookings must be followed to ensure that VCS receive all Customer’s requests. VCS won’t be responsible if certain Bookings or other communication is not received due to any Customer not following the respective process.\n \n\n10.\tBookings and Reservations can be submitted only through the Website under the procedure displayed and in strict observance of the steps proposed and by choosing the options offered at each step (if different options exist). Any other type of bookings, reservation, or requests, including made by phone, fax or email will not be accepted and not be treated valid. VCS will not honor any rate certain Customer can potentially claim to have obtained in any way other than through the Marketplace.\n \n\n11.\tAll Bookings of Accommodation Services located in any Sanctioned Country must be consistent with applicable restrictions. No refunds will be made, or liability incurred with respect to any Accommodation Services, or related service arrangements that are prohibited under the respective applicable law.\n \n\n12.\tIf the Booking is a Prepaid Deal, the Customer shall be obliged to pay to VCS the full amount of the Accommodation Fee with Taxes included and all other Variable Fees and Charges at the time of Booking. \n \n\n13.\tCancellation of Bookings by the Customer and eventual refunding shall be subject to the conditions of the respective Accommodation Service, on which Booking was completed. Reservations will be cancelled automatically by VCS if no Booking is made. \n \n\n14.\tIn each Accommodation Service available, the Website shall display if the Booking is refundable or non- refundable. Such information shall be also provided upon Booking Confirmation.\n \n\n15.\tIf not explicitly stated otherwise in the Booking Confirmation, the Customer shall have no right to receive back any part of the amounts paid by such Customer regarding a Booking which was cancelled by the Customer.\n \n\n16.\tThe Customer acknowledges that no refunding might apply in case of a no-show at the Accommodation Service.\n \n\n17.\tIf the Customer has late or delayed arrival on the check-in date or only arrives the next day, the Customer is obliged to timely communicate this with the Accommodation Provider, so they know when to expect the Customer. VCS does not accept any liability or responsibility for the consequences of Customer’s delayed arrival or any cancellation or charged no-show fee.\n \n\n18.\tModification of a Booking may or may not be possible. If possible, it can only be made by the Customer to the extent expressly indicated under the conditions on the Booking Confirmation.\n \n\n19.\tModification of a Booking, e.g. name of Customer or any other changes, may not be permitted and the Booking may need to be cancelled and re-booked. Any modification may be a subject to new prices and conditions.\n \n\n20.\tIf not explicitly stated that modifications are allowed, Customers will be unable to modify their Booking. VCS does not charge handling fees if modification of a Booking is possible.\n \n\n21.\tThe Customer may inform for special requests (for example, dietary requirements, cots or other special needs) through customer service under [support@spryr.com](mailto:support@spryr.com) or through other means of communication provided on the Website from time to time. Such requests will be forwarded to the Accommodation Provider. However, the Customer fully acknowledges that neither VCS nor the Accommodation Provider shall be held responsible if such special requests cannot be fulfilled.\n\n\n \n\n#### VI.\tPRICES, FEES AND PAYMENT\n\n \n\n1.\tEach Customer shall use the Accommodation Services available at the Marketplace only against full and correct payment of all fees and contributions indicated in these Terms and on the Website.\n \n\n2.\tThe Accommodation Fee will be duly indicated on the Website for each Accommodation Service and can vary depending on different accommodation options, food, and additional service options and other variables related to the respective Accommodation Service.\n \n\n3.\tThe Accommodation Fee shall be charged by VCS together with Taxes and Variable Fees and Charges chargeable by VCS and unless stated otherwise in the Booking Confirmation.\n \n\n4.\tAccommodation Fees displayed at the Website are subject to change at any time, but changes will not affect the Accommodation Services once the Customer has received the Booking Confirmation. VCS reserves the right to vary Accommodation Fees after Booking Confirmation has been given only in case of variations in applicable tax rates, VAT or other conditions beyond its control, as well as in case of exchange rate variations in excess of 3%, changes in the periods of trade fair events by hotels or similar situations.\n \n\n5.\tWhile VCS tries to ensure to its best ability that all rates on the Website are accurate, errors may occur. VCS and/ or the Accommodation Provider will be under no obligation to provide Accommodation Services to the Customer if an incorrect rate has been stated; obvious errors shall not become binding on VCS. \n \n\n6.\tBookings made for special event periods may incur special booking conditions and rates. The Customer will be notified if these conditions and rates apply at the time of the Booking.\n \n\n7.\tPrices on all Accommodation Services and all related fees and contributions under these Terms shall be indicated in United States Dollars (USD). Only if made available by VCS from time to time and upon selection by the Customer, prices may also be indicated in EURO, British pounds (GBP) as well as in the other currencies. Prices in these currencies are displayed based on data provided by the Accommodation Provider through the API (or through other communication means).\n \n\n8.\tAll payments to VCS will be made to and accepted by Payment Provider on account of VCS. Customer will provide current, complete, and accurate information for all Bookings made and will update any payment information upon request, if required by VCS or Payment Provider. \n \n\n9.\tAny payment transactions with Customers to and by VCS shall be charged in United States Dollars (USD) unless otherwise explicitly indicated. If payments are made in another currency as USD the exchange rate offered by the Payment Provider shall apply. VCS shall not and cannot be held responsible for any differences resulting of such exchange rates, which the Customer might consider negative. \n \n\n10.\tVCS shall, to its best ability, provide indication for all Variable Fees and Charges, as well as other additional fees and taxes that apply for any payment. However, VCS shall not be held responsible if VCS cannot provide the Customer correct information or cannot provide any information on certain Variable Fees and Charges, should such impossibility of VCS result from certain Accommodation Provider not providing the corresponding information or providing incorrect or misleading information. In such cases VCS shall not be held liable for any damages or lost profits incurred as a result of payment of any such taxes, charges and/ or fees. VCS shall also bear no responsibility in cases of amendments in tax and/ or travel/ tourist regulations in any jurisdiction which result or can result in changes in any Taxes, Variable Fees and Charges and other taxes, charges or statutory fees. In some countries, there is a local tax known as \"visitors' tax\", “city tax” \"tourist tax\" (or similar) and other fees including (but not limited to) resort fees or service charges, which shall be paid directly by the end consumer at the accommodation establishment and/ or at the airport. VCS shall use reasonable efforts to provide, at the time of Booking, an estimation of the applicable fees and/or local tax(es) attributable to each individual booking and payable at the time of Booking and/ or locally on arrival (“Local Tax/ Fee Estimations”). Notwithstanding the foregoing, VCS does not warrant that the Local Tax/ Fee Estimations shall be accurate, and the Customer hereby acknowledges and agrees that the Local Tax/ Fee Estimations are provided as estimates only. The Customer further acknowledges that Local Taxes/ Fee Estimations, may change from time to time. As a result, VCS cannot be held liable for any loss, costs or damages incurred as a result of the provision of such Local Taxes/ Fee Estimations. Confirmation of and the accuracy of the Local Taxes/ Fee Estimations is ultimately the responsibility of the Customer.\n \n\n11.\tThe Accommodation Fee does not include any services not explicitly specified in the Booking Confirmation.\n \n\n12.\tBased on the selections made by the Customer for type of Accommodation Service required, length of the stay (number of nights), number of persons, the Website based on the information received by the Accommodation Provider through the API (or through other communication means) will indicate total Accommodation Fee which will include all these parameters preselected by the Customer. Accommodation Fee does not include any extra services such as telephone calls, insurance, laundry service, minibar, parking, etc., which shall be paid by the Customer separately to the respective Accommodation Provider.\n \n\n13.\tThe following items could be excluded from the Accommodation Fee: (i) any refundable deposits which may be required by Accommodation Providers, (ii) non-refundable fees for services (i.e. cleaning services, Wi-Fi etc.) and (iii) Variable Fees and Charges (including Local Tax/ Fee Estimations). These should be paid by the Customer at arrival if applicable. VCS will inform Customers to the best of its knowledge of these items in the Booking Confirmation.\n \n\n14.\tAvailability of the selected Accommodation Service may be subject to change before receipt of Booking Confirmation.\n \n\n15.\tAny payment made to or facilitated by VCS and/or the Payment Provider for and on behalf of the Customer to the Accommodation Provider, will in each case constitute a payment of (or part payment of) the Accommodation Fee, Taxes and Variable Fees and Charges and the Customer shall not be able to reclaim such paid monies, except in the cases explicitly mentioned in these Terms.\n\n\n \n\n#### VII.\tSUSPICIOUS OPERATIONS AND PAYMENTS\n\n \n\n1.\tShould at any point in time VCS has reasonable suspicions that certain actions or operations procured by a Customer either: (i) are unauthorized or (ii) payments are from illegal or illegitimate source, or (iii) are related to crime or administrative violation, or (iv) operations and/ or payments might be procured without the actual knowledge of the Customer, or (v) certain action and/ or operation is contradictory to any of the provisions of these Terms, VCS has the full right (but not the obligation) to immediately and cumulatively take the following actions (until otherwise proven):\n \n\n a.\tsuspend or cancel any such suspicious action and/or operation to the extent possible;\n \n\n b.\tblock and retain any outstanding payment to the extent possible;\n \n\n c.\tremove any infringing content;\n \n\n d.\tduly inform competent authorities and banking and financial institutions; or\n \n\n e.\tconduct private investigation and request any additional information by all interested parties.\n \n\n2.\tVCS shall have the rights in the clause above also in case of:\n \n\n\n a.\tVCS receives act of competent court or other legitimate administrative body requesting any such actions;\n \n\n b.\tany third-party infringement claims related to infringements of such third-parties’ legal interests related to such actions, payments or operations, unless proven that such claims are not brought to the attention of and/or supported by the competent court or jurisdiction.\n \n \n\n#### VIII.\tREPRESENTATIONS & WARRANTIES OF THE PARTIES\n\n \n\n1.\tRepresentations and Warranties of VCS\n \n\n1.1. \tVCS hereby declares and guarantees that it is duly incorporated and validly existing under the laws of its jurisdiction of incorporation and has full corporate power and authority to carry on its business.\n \n\n1.2. \tVCS has the legal right, full power and authority and all necessary consents to establish these Terms and to enter into and perform VCS’s obligations under these Terms.\n\n \n\n2.\tRepresentations and Warranties of the Customer\n \n\n2.1.\tThe Customer hereby declares and guarantees that it has full legal and contractual capacity and capability under these Terms.\n \n\n2.2.\tThe Customer hereby declares and guarantees that it has full legal capacity and all necessary rights to enter in the agreement contemplated in these Terms and to fulfil its obligations under these Terms and nder the Accommodation Services sold through Spryr.\n \n\n2.3.\tThe Customer hereby declares and guarantees that it will always provide true, correct, full and actual data upon its Registration as well as anytime it makes Bookings through the Website and shall always keep such data in its Spryr Account true, actual and updated.\n\n\n \n\n#### IX.\tLIMITATION OF LIABILITY AND DISCLAIMERS\n\n \n\n1.\tVCS cannot and shall not be held liable or responsible in case of any breach or non- fulfilment of any Accommodation Provider to provide any Accommodation Service. VCS cannot and shall not be held liable or responsible for any payments lost by any Customer as a result of fraud, fishing, hacker attacks and/ or any other malicious and/or criminal activity, nor in case of any disputes between Customer and Accommodation Provider. Furthermore, VCS shall hold no responsibility whatsoever in case of due remittance or withholding of any payment by any Accommodation Provider, which act is disputed by Customer by reason of any claimed breach or non – fulfilment against the respective Accommodation Provider. VCS shall not be liable to the Customer for any indirect, special or consequential loss, including economic loss, which term shall include, but not be limited to, loss of profits, loss of use of profits, business, revenue, goodwill or anticipated savings.\n \n\n2.\tVCS shall not be responsible for any cyber-attacks and/ or viruses, data thefts, ransomwares, malware attacks, fishing, denial of service attacks, consensus-based attacks, Sybil attacks, smurfing and spoofing, fail of service providence or any of the like during the use of Marketplace functionalities, data charges, other fees and taxes associated with Customer's access and use of the Marketplace. VCS shall not be responsible in cases of unauthorized and/ or malicious acts of third-parties accessing and/ or operating with any Customer's bank account or other payment means without the necessary permission.\n \n\n3.\tIn using the Website, Customer may view content or services provided by third parties, including links to web pages and services of such parties (\"Third Party Content\"). VCS does not control, endorse or adopt any Third Party Content. VCS has no responsibility for Third Party Content, including, without limitation, material that may be misleading, incomplete, erroneous, offensive, indecent, or otherwise objectionable in your jurisdiction. In addition, the Customer's dealings or correspondence with such third parties are solely between the Customer and the third party. VCS is not responsible or liable for any loss or damage of any sort incurred as a result of any such dealings and the Customer's use of Third Party Content is at its own risk.\n \n\n4.\tVCS DISCLAIMS ANY AND ALL PROMISES, REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, DATA ACCURACY, SYSTEM INTEGRATION, TITLE, NON-INFRINGEMENT AND/OR QUIET ENJOYMENT, AND ANY SERVICES PROVIDED BY VCS ARE PROVIDED \"AS IS\" AND \"AS AVAILABLE.\" VCS DOES NOT MAKE ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, (A) REGARDING THE CONTENTS OF THE SERVICES, INFORMATION AND FUNCTIONS MADE ACCESSIBLE THROUGH THE SERVICES, ANY HYPERLINKS TO THIRD PARTY WEBSITES, OR THE SECURITY ASSOCIATED WITH THE TRANSMISSION OF INFORMATION THROUGH THE SERVICES, OR ANY WEBSITE LINKED TO THE SERVICES (B) THAT ACCESS TO THE SERVICES SHALL BE CONTINUOUS, UNINTERRUPTED, TIMELY, OR ERROR-FREE. IN ENTERING INTO THIS AGREEMENT, CUSTOMER REPRESENTS THAT IT HAS NOT RELIED UPON ANY REPRESENTATION OR WARRANTY OF VCS OR ITS AFFILIATES EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT.\n \n\n5.\tVCS SHALL NOT BE LIABLE FOR ANY DAMAGES CAUSED IN WHOLE OR IN PART BY (A) THE MALFUNCTION, UNEXPECTED FUNCTION OR UNINTENDED FUNCTION OF ANY COMPUTER NETWORK, INCLUDING WITHOUT LIMITATION LOSSES ASSOCIATED WITH VIRUSES, HACKING OR CYBERSECURITY BREACHES; (B) ANY CHANGE IN LAW, REGULATION OR POLICY, OR (C) FORCE MAJEURE EVENT (INCLUDING BUT NOT LIMITED TO (I) ACTS OF GOD, NATURE, COURT OR GOVERNMENT; (II) FAILURE OR INTERRUPTION IN PUBLIC OR PRIVATE TELECOMMUNICATION NETWORKS, COMMUNICATION CHANNELS OR INFORMATION SYSTEMS; (III) ACTS OR OMISSIONS OF ACTS OF A PARTY FOR WHOM VCS IS NOT RESPONSIBLE; (IV) DELAY, FAILURE, OR INTERRUPTION IN, OR UNAVAILABILITY OF, THIRD PARTY SERVICES AND SITES; (V) STRIKES, LOCK-OUTS, LABOUR DISPUTES, WARS, TERRORIST ACTS AND RIOTS; AND (VI) VIRUSES, MALWARES, OTHER MALICIOUS COMPUTER CODES OR THE HACKING OF VCS SYSTEMS).\n \n\n6.\tVCS shall not be held liable for any acts and/ or omissions of any Customer in violation of any law, rule, regulation, contract and/ or these Terms.\n \n\n7.\tVCS shall not be liable for any acts, omissions, breaches or negligence of any such independent businesses or any damages or expenses resulting from the Accommodation Services provided by certain Accommodation Provider, including but not limited to damages resulting from death, injury, illness, damage, loss, accident, theft, delays or any other irregularity or quality issues which may arise (i.e. delays, overbookings, etc.), whether directly or indirectly, from the supply of Accommodation Services by Accommodation Providers.\n \n\n8. For any claim, for which VCS is not disclaimed from liability under these Terms and/ or under the applicable law, VCS shall be liable only if:\n \n\n a.\tVCS is in intentional or gross negligent breach of any of its obligations under these Terms; and\n \n\n b.\tif such claim is made by the Customer in not more than 15 days after the check-out date as the event giving rise to such claim or, in case of series of events, the first such event which gives rise to such claim.\n \n\n9. VCS maximum liability to each Customer in connection with use of the Marketplace for any reasonable and foreseeable loss, damage, or liability which the Customer(s) may suffer or incur as a result of VCS failure, breach of contract, or the deliberate or negligent acts or omissions of any of VCS employees, shall be limited to the sum of the Accommodation Fee procured on the respective Booking.\n\n\n \n\n#### XVI.\tCORRECTIONS\n\n \n\nIf any information on the Services, including information on Accommodation Services and Booking Confirmations, contain typographical errors, omissions, or inaccuracies, including descriptions, pricing, availability, and various other information, we reserve the right to correct any errors, omissions, or inaccuracies. VCS may correct, update, or change such information on Services at any time, without prior notice. \n\n \n\n#### XVII.\tCALIFORNIA USERS AND RESIDENTS\n\n \n\nIf any complaint with us is not satisfactory resolved, you can report your complaint to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Boulevard, Suite N 112, Sacramento, CA 95834 or by telephone at (800) 952-5210.\n\n \n\n#### XVIII.\tMISCELLANEOUS\n\n \n\n1.\tThe Customer hereby agrees that if any portion of these Terms is found illegal or unenforceable, in whole or in part, such provision shall, as to such jurisdiction, be ineffective solely to the extent of such determination of invalidity or unenforceability without affecting the validity or enforceability thereof in any other manner or jurisdiction and without affecting the remaining provisions of the Terms, which shall continue to be in full force and effect. Parties shall negotiate in good faith in order to agree on the terms of a mutually satisfactory alternate provision, which shall, to the furthest possible extent, produce the same effects.\n \n\n2.\tThese Terms shall be binding on Customer's successors, heirs, personal representatives, and assigns.\n \n \n3.\tCustomer and VCS are independent contractors for purposes of these Terms and the Services. Nothing in these Terms shall create any partnership, joint venture, agency, consultancy, or trusteeship.\n \n\n4.\tIt is Customer's responsibility to determine what, if any, taxes apply due to your use of Services, and it is Customer's responsibility to report and remit the correct tax to the appropriate tax authority. \n \n\n5.\tIf a Customer \n \n\na.\tmakes a Booking of an Accommodation Service and makes another Booking of an additional Accommodation Service for the same vacation and during the same visit to the Website; or\n \n\nb.\tmakes a Booking for additional Accommodation Services for the same vacation through a link provided to the Customer by VCS no later than 24 hours after receiving the Booking Confirmation for the first Booking;\n \n \nthe Customer will not benefit from rights applying to packages under Directive (EU) 2015/2302 or the UK Package Travel and Linked Travel Arrangements Regulations 2018. VCS will not be liable for the proper performance of such linked Accommodation Services.\n\n \n\n#### XIX.\tELECTRONIC STATEMENT AND COMMUNICATION\n\n \n\n1.\tThe Customer acknowledges that by the act of clicking or ticking on the respective field(s) on the Website, where it is described that the Customer read, understood, and confirms/ approves these Terms, shall constitute an electronic statement for acceptance, signing and confirmation of these Terms on behalf of the Customer.\n \n\n2.\tThese Terms are available and accessible at [https://spryr.com/terms](/info/terms-and-conditions) and can always be downloaded in pdf. format by the Customer and stored on its device.\n \n\n3.\tThe Customer acknowledges that VCS will communicate with the Customer electronically, especially via email and through other electronic means provided for by the Services, which shall satisfy any legal requirement of communication in writing. These Terms shall be available and accessible on the following web address: https://spryr.com/spryrpartnershipterms.html. \n\n \n\nThese Spryr Partnership Terms are supplemental to the Terms, and the Spryr Partnership Terms together with the Terms constitute the entire terms and conditions between VCS and each Spryr Partner who accesses or uses the Spryr Partnership Services.\n\n \n\nAny access to Spryr and/or use of any of the functionalities, services and products offered by VCS to Spryr Partners (“Spryr Partnership Services”) are subject to full, unconditional, and validly expressed acceptance and confirmation of the Spryr Partnership Terms and the Terms by the respective Spryr Partner.\n\n \n\nBy confirmation of these Spryr Partnership Terms each Spryr Partner concludes an agreement on the use the functionalities of the Spryr Partnership Services with VCS, which agreement shall be under the following terms and conditions:\n\n \n\n**I. DEFINITIONS**\n\n \n\nUnless the context otherwise requires, the following capitalized terms shall have the following meanings:\n\n \n\n1. Agreement – shall refer to the Participation Agreement and/or the Listing Agreement entered into by and between the Spryr Partner and VCS to allow a Spryr Partner to participate in certain VC Trades by Spryr and to use and enjoy the Spryr Partnership Services. \n2. AML-KYC Policy – shall refer to the rules and policies, as amended from time to time, to prevent illegal activity including anti-money laundering (“AML”), counter-terrorist financing (“CFT”) and know your customer (“KYC”) procedures required by any company acting as payout service provider for VCS from time to time. At present Wise Payments Limited acts as Payout Provider for VCS and ensures compliance with applicable AML, CFT, and KYC legislation. Further information shall be available and accessible at https://wise.com/en/legal/terms-and-conditions and https://wise.com/gb/legal/global-privacy-policy-en, which are incorporated herein by reference.\n3. Commission – shall mean the commission a Spryr Partner shall receive from VCS for Spryr Trades.\n4. Commission Rate – shall refer to the percentage rate a Spryr Partner shall receive from the Sales Margin. \n5. Introductory Commission – shall refer to the payment of a commission for the sale of a Spryr Accommodation Service affected by a Spryr Partner’s introduction of the purchaser.\n6. Listings – shall refer to the listing of the Spryr Accommodation Service on the VCS Ecosystem for sale.\n7. Marketplace – shall mean the internet-based bookings ecosystem accessible and integrated within the Website, which offers to Spryr Partners different functionalities related to listing, offering, marketing, and sale of the Spryr Accommodation Service.\n8. Spryr Partner – shall refer to the Participating Spryr Partner, and/or the Listing Spryr Partner, whatever term applies in the context of the Agreement concluded between the Spryr Partners and VCS, and/or any other Person who has created a Spryr Partnership Account. A Spryr Partner may be referenced in the Agreement as VC Client.\n9. Spryr Partner Data – shall mean the registration data required from the Spryr Partner for listing and selling its Spryr Accommodation Service, which shall be gathered at Registration. \n10. Spryr Partnership – shall refer to any and all rights, obligations and benefits of a Spryr Partner on the VCS Ecosystem.\n11. Spryr Partnership Account – shall refer to the account created by the Spryr Partner as a means to interact with the VCS Ecosystem, in particular to transfer the use and occupancy rights of the Spryr Accommodation Service (and shall have the same meaning as the term VC Trading Account referenced in the Agreement) and to receive Payouts. \n12. Spryr Partnership Services – shall refer to the functionalities and services offered by VCS to the Spryr Partner through the Spryr Partnership Account for the purpose of listing and selling the Spryr Accommodation Service and receiving the Commission. \n13. Spryr Partnership Terms – shall refer to these Terms and Conditions Regarding Spryr Partnership, as amended from time to time, and referenced in the Agreement (either as Spryr Partnership Terms or VCSphere Terms or Spryr Listing Terms).\n14. Payout – shall refer to payment of the Commission and/or the Introductory Commission to the Spryr Partner by the Payout Provider.\n15. Payout Data – shall mean the data required from the Spryr Partner for receiving Payouts from the Payout Provider.\n16. Payout Provider – shall refer to any company acting as payout service provider for VCS from time to time. Person – shall mean any individual over the age of 18, corporation, partnership, limited liability company, joint venture, association, joint stock company, trust, unincorporated organization or government or any agency or political subdivision thereof.\n18. Referral – shall refer to the sale of a Spryr Accommodation Service effected by a Spryr Partner’s introduction of a purchaser as purchaser of Spryr Accommodation Services via the Website.\n19. Registration – shall refer to the process of creation of a Spryr Partnership Account and/or verification of Spryr Partner’s Spryr Partner Data and/or providing the Required Information (according to the Listing Agreement) and the Payout Data or any other information required from time to time when creating a Spryr Partnership Account.\n20. Sales Margin - shall refer to the difference between the Spryr Accommodation Fee excluding Taxes and Variable Fees and Charges and the VCS Costs.\n21. Sanctioned Countries – shall mean each country, state and/ or jurisdiction, which is subject to international sanctions imposed by either the United Nations and/or European and/or the United States of America.\n22. Terms – shall refer to the terms and conditions as amended from time to time and referenced in the Agreement as Spryr Terms. Spryr Accommodation Fee(s) – shall refer to the sales price for any Spryr Accommodation Service sold through Spryr.\n24. Spryr Accommodation Service – shall refer to the rights of use, occupancy, and enjoyment in respect to the Accommodation Service or Existing Spryr Partnership, whatever term applies in the context of the Agreement, and listed by Spryr Partner on the Website.\n25. Spryr Trades – shall refer to the sale of the Spryr Accommodation Service through the Website.\n26. VCS Costs – shall refer to the costs for the acquisition of Accommodation Services by VCS, payment provider fees, and services.\n27. VCS Ecosystem – shall refer to all functionalities provided to Spryr Partner through the Website.\n28. Website – shall refer to the official website https://spryr.com. \n\n \n\nUnless the context otherwise requires, capitalized terms not defined in these Spryr Partnership Terms shall have the meaning defined in the Agreement or the Terms.\n\n \n\n**II.GENERAL PROVISIONS**\n\n \n\n1. By Registration, the Spryr Partner agrees that the Spryr Partner has read, understood, and accepted all of these Spryr Partnership Terms, as well as any other supplemental policy referenced or incorporated herein, including but not limited to the Terms, Cookie Policy, Privacy Policy, Payout Provider’s AML-KYC Policy and such other rules and policies in effect from time to time.\n2. Each Spryr Partner acknowledges and understands that the VCS Ecosystem can only be used by Spryr Partner when the rules and conditions herein described are fully met by the Spryr Partner respectively obliged under the corresponding clause of these Spryr Partnership Terms. \n\n \n\n**III.OPEN MARKETPLACE**\n\n \n\nThe Spryr Partner acknowledges that any Person can access the Marketplace, review Listings, and purchase Spryr Accommodation Services through the Website by using the functionalities of the Website. Obtaining any form of membership is not necessary for such review and purchase.\n\n \n\n**IV.SPRYR PARTNERSHIP AND REGISTRATION**\n\n \n\n1. As of Registration a Person shall become a Spryr Partner. Timely payment in full of all monies owed according to the Agreement is a condition precedent to becoming a Spryr Partner and participating in the VCS Ecosystem.\n\n2. Registration with VCS may only be made by Persons with full legal and contractual capacity and capability and in accordance with the laws of their national jurisdiction.\n\n3. A Spryr Partner is entitled to access and/or use the VCS Ecosystem, including but not limited to the functionalities of the Spryr Partnership Account, in accordance with the Agreement and the Spryr Partnership Terms.\n\n4. Upon Registration, any Spryr Partner shall freely and willingly provide its Spryr Partner Data and its Payout Data for the purposes of obtaining a Spryr Partnership Account. By accepting these Spryr Partnership Terms, the Spryr Partner agrees to disclose its residency in the Registration process. The Spryr Partner Data and Payout Data must be true and accurate and in accordance with the Spryr Partner’s national jurisdiction as of Registration.\n\n5. Upon Registration, the Spryr Partner must: (i) create a strong password that such Spryr Partner does not use for any other website or online service; (ii) protect and keep secret all credentials for the Spryr Partnership Account.\n\n6. With respect to the Spryr Partnership Account, VCS shall exclusively receive any passwords encrypted. \n\n7. The Spryr Partner commits and undertakes (i) to protect access to any device that accesses the Spryr Partnership Account; (ii) to promptly notify VCS if a Spryr Partner discovers or otherwise suspects any security breaches related to their Spryr Partnership Account.\n\n8. Only after the Spryr Partner has (i) provided all information requested in the Registration process; and (ii) made the sale of its Spryr Accommodation Service available by its Listing, the Spryr Partner shall be entitled to a Commission and to receipt of Payouts. \n\n9. VCS has the full discretion to determine and/or to change the requirements for Registration, especially in regard to the Spryr Partner Data and Payout Data and update the Registration process from time to time.\n\n10. The Spryr Partner shall be personally responsible for the payment of all taxes, duties, levies and charges assessed in connection with its Spryr Partnership, especially when receiving a Payout. \n\n11. Except expressly set forth otherwise in the Agreement, title to the Spryr Accommodation Service remains and shall at all times remain with respective Spryr Partner. \n\n12. VCS may offer a “chat” or “messaging” feature in connection with the Spryr Partnership Account to communicate with Spryr Partners. Use of any such feature is subject to Spryr Partnership Terms and VCS may suspend or terminate Spryr Partner’s use of any messaging feature for any reason, with or without notice. All communications made on any such feature are subject to surveillance and retention by VCS and may be produced by VCS in response to a request for information from law enforcement, a governmental agency or regulatory authority. Any such feature is not a method of execution, and any communications relating to transactions are for discussion purposes only. All orders must be executed via the Spryr Partnership Account’s order process.\n\n13. Each Spryr Partner, if legally capable under the laws of its jurisdiction of seat, domicile and/ or nationality, shall be solely responsible to check and ascertain if it is also legally capable under the laws of any other jurisdiction to sell Spryr Accommodation Services through the Marketplace. VCS shall not be in any way responsible if any Spryr Partner is in violation of any such jurisdiction legal capability laws and regulations and/or if such Spryr Partner cannot sell any Spryr Accommodation Services for whatever legal grounds. \n\n14. A corporate entity shall be considered legally capable if it is fully incorporated and existing under the laws of the country of its incorporation and if the Registration with VCS is conducted on behalf and on account of this entity by its legal representative.\n15. Each Spryr Partner is obliged to access its Spryr Partnership Account only personally or through a duly authorized representative. The Spryr Partner will be solely obliged to keep its access data protected and VCS bears no liability whatsoever for any misuse of Spryr Partner’s Spryr Partnership Account by an unauthorized third party or any other unauthorized actions performed through the Spryr Partnership Account of the Spryr Partner by such third party.\n\n16. The Spryr Partner agrees to take responsibility for all activities that occur with their Spryr Partnership Account and accept all risks of any authorized or unauthorized access to their Spryr Partnership Account, to the maximum extent permitted by law.\n\n17. Faulty Spryr Partner Data and/or Payout Data may cause consequences for which VCS cannot be held liable. Therefore, VCS won’t allow any Spryr Partner to proceed with any Listings should such Spryr Partner abstain from declaring the Spryr Partner Data and/or the Payout Data in the Registration process. In case any financial damage occurs due to false Spryr Partner Data and/or Payout Data declaration, it will be covered by the Spryr Partner in full and such Spryr Partner indemnifies and hold VCS harmless from and against all damages, costs, and expenses in connection with same.\n\n18. If a Payout may not be made by VCS for reasons within the sphere of the Spryr Partner and the Spryr Partner does not correct this even after being requested to do so three times, but at least over a period of 30 days, the amount that should be paid out may be converted into a voucher and sent to the Spryr Partner by email. The transmission of the voucher has a debt-discharging effect on VCS, such voucher shall expire after a period of 12 months.\n\n19. Any and all data gathered from a Spryr Partner to the extent it qualifies as personal data under GDPR, shall be stored and processed in accordance with the Privacy Policy and AML-KYC Policy.\n\n \n\n**V. LISTING**\n\n \n\n1. Listings may only be made by Spryr Partners with full legal and contractual capacity and capability and in accordance with the laws of their national jurisdiction.\n\n2. Any Listings of a Spryr Accommodation Service must be made through and in accordance with the Spryr Partnership Terms.\n \n3. Any Listing must be confirmed by VCS and recorded in the Spryr Partnership Account associated with the relevant Spryr Partnership.\n\n4. If the information pertaining to the Spryr Accommodation Service the Spryr Partner submits via the Spryr Partnership Account is not complete, the Listing may not be executed. \n\n5. Once a Spryr Accommodation Service has been submitted through the Spryr Partnership Account to be available for Spryr Trade, it shall be Spryr Partner’s responsibility to ensure availability of the Spryr Accommodation Service for Booking. \n\n6. VCS may suspend, delay, redirect, reverse or cancel any Listing at any time and for any reason. For example, and without limitation, VCS may do so if VCS suspect any risk of fraud, crime, breach of the Agreement or the Spryr Partnership Terms, or illicit activity. If any costs incur VCS in respect of a suspension, delay, redirection, reversal, or cancellation caused by a Spryr Partner, Spryr Partner will bear those costs to the extent permitted by law.\n\n \n\n**VI. PAYOUT**\n\n \n\n1. Spryr Partner shall be entitled to receive a Payout as specified in these Spryr Partnership Terms. Payout shall be made at least once every 12 months after Registration, or any other frequency of Payout VCS may determine from time to time. \n2. Payouts and all related payments under the Spryr Partnership Terms shall be made exclusively in United States Dollars (USD).\n3. Spryr Partner shall be entitled to receipt of a Commission on the Spryr Accommodation Services sold through the Website in consideration of the use of its membership rights and in accordance with the Agreement. The Commission shall be calculated based on the Sales Margin. The exact percentage rate of the Commission shall be retrievable for the Spryr Partner on its Spryr Partnership Account. \n4. The calculation of the Commission payable to a Spryr Partner in connection with the sale of Spryr Accommodation Services shall be calculated as follows:\n_Sales Margin of all Spryr Accommodation Service sales x Commission Rate_\nThe exact percentage rate of the Commission Rate shall be retrievable for the Spryr Partner on its Spryr Partnership Account.\nBy way of illustration: _Spryr Accommodation Services are sold for Spryr Accommodation Fees totaling to US$1,000. Taxes and Variable Fees and Charges amount to US$100. VCS Costs amount to US$ 400. The Sales Margin on the Spryr Trade is US$ 500 (US$ 1,000 – US$100 – US$400)._ The Commission is computed based on the applicable Commission Rate.\n5. If a Spryr Accommodation Service is sold as a result of the introduction of a buyer by a Spryr Partner, the Spryr Partner may receive an Introductory Commission as specified by VCS from time to time.\nBy way of illustration: _A Spryr Partner refers a buyer to the Website who purchases an Accommodation Service for an Accommodation Fee of US$1,000. After deduction of Taxes, Variable Fees and Charges and payment provider fees the net sales price amounts to US$900. The Introductory Commission Rate amount to five percent (5%). The Introductory Commission amounts to US$45._\nThe exact percentage rate of the Introductory Commission Rate shall be retrievable for the Spryr Partner on its Spryr Partnership Account.\n6. The same rules and regulations for Payouts of Introductory Commissions shall apply as for Payouts of Commissions.\n7. The amount payable as Payout from time to time shall be retrievable for the Spryr Partner on its Spryr Partnership Account. \n8. Payout Provider fees may be charged on the Commission for Payout to a Spryr Partner, as determined by Payout Provider. Spryr Partners are solely responsible for paying any such fee, which shall be deducted from the Commission. VCS shall not advance, refund, or fund such a fee on Spryr Partner’s behalf. VCS shall not be responsible for any excess or insufficient fee calculation.\n9. VCS shall be entitled, without prejudice to any other rights or remedies it may have, to withhold payment of part or all of the Commission until the Spryr Partner has completed to the satisfaction of VCS any obligations to which those payments relate. For the avoidance of doubt, the Spryr Partners shall not be entitled to any Commission prior to Registration.\n10. VCS does not give investment, tax, legal, or other professional advice by allowing Spryr Partner to use the Spryr Partnership Services. Before Registration, each Spryr Partner should consult a qualified professional, especially in the areas of tax and law. \n11. The Spryr Partner expressly acknowledges that \na) the Spryr Partner is solely responsible for determining the nature, potential value, suitability, and appropriateness of benefits and risks associated with the Spryr Partnership for itself; \nb) the Spryr Partner is familiar with the VCS Ecosystem and has the experience required to use the Spryr Partnership Account; and \nc) the Spryr Partner is responsible for determining whether using the VCS Ecosystem is legal in Spryr Partner’s jurisdiction and Spryr Partner shall not use any of the functionalities of the VCS Ecosystem if such use is illegal. \n\n12. Legal and contractual capability of natural persons shall be in accordance with the laws of their country of nationality and/ or domicile, but in all cases a natural person shall not be considered legally capable if it is less than 18 years of age. Persons that meet the jurisdictional age criteria for legal capability shall be considered capable, until proven otherwise.\n\n \n\n**VII. REFERRALS AND INTRODUCTORY COMMISSIONS**\n\n \n\n1. The Spryr Partner is responsible for any and all tax liability resulting from Introductory Commissions.\n\n\n2. The Spryer Partner’s unique Referral link may not be shared, sold, or used in any way except by the Spryr Partner alone to obtain Referrals; Referral links shared to or obtained through other sources (such as through a posting to a third-party intermediary or website) will not be honored. Spryr Partners are limited to one (1) Referral for each referred purchaser; in other words, additional/repeat purchases made by a referred purchaser are not counted as additional Referrals.\n\n3. Spryr’s Referral program cannot be used by businesses or individuals for affiliate lead generation or posted on discount sites. Referral links may not be published or distributed on commercial websites (such as coupon websites, Reddit, or Wikipedia). Spryr Partners are prohibited from paying to advertise their Referral links and must disclose that they are paid based on successful Referrals.\n\n4. Referred purchasers may not combine any discounts obtained through their use of the Referral with any offer codes or other discounts offered by Spryr.\n\n5. When Spryr Partners engage in marketing in connection with the Referral program, they are considered the sender of any marketing communication they initiate and are responsible for their own compliance under applicable marketing and telecommunications laws. This means, among other things, that Spryr Partners are responsible for compliance with all applicable laws, including but not limited to the CAN SPAM Act. The Spryr Partner must not send unsolicited commercial or marketing related messages and must respect unsubscribe and do not contact requests. Any distribution of a Referral link that could constitute unsolicited commercial email or \"spam\" under any applicable law or regulation is expressly prohibited and will be grounds for immediate termination of your Spryr Partnership and exclusion from the Referral program.\n\n6. Spryr reserves the right to terminate the Account of any Spryr Partner and/or referred purchaser at any time and without notice, including, but not limited to, if Spryr, at its sole discretion, considers any Spryr Partner and/or referred purchaser’s conduct to be in violation of these Partnership Terms.\n\n7. Spryr reserves the right to cancel the Referral program and to revise these Partnership Terms from time to time. If Spryr makes any material changes to these Partnership Terms, Spryr will announce those changes to Spryr Partner in the Spryr Partnership Account on the Website. If the Referral program is terminated, any unclaimed Introductory Commissions will be forfeited at that time.\n\n \n\n**VIII. TAXES**\n\n \n\n1. The prices displayed on the Website may include taxes or tax recovery charges. Such taxes or tax recovery charges may include amounts associated with value-added tax, goods and services tax, sales tax, occupancy tax and other taxes of a similar nature.\n\n\n2. The tax shown and collected are a recovery of the estimated taxes that Spryr pays to the Spryr Partner for taxes due on the Spryr Accommodation Services provided by Spryr Partner (such as for the rental rate for the room). The Spryr Partner is responsible for remitting applicable taxes to the applicable taxing jurisdictions. Taxability and the appropriate tax rate vary greatly by jurisdiction. The actual amounts paid by Spryr to the Spryr Partner may vary from the tax recovery charge amounts, depending upon the rates, taxability, etc. in effect at the time of the actual use of the services provided by the Spryr Partner.\n\n3. Sales, use and/or local hotel occupancy taxes are imposed on the amounts that Spryr charge for services they provide (service fee and/or facilitation fee) in certain jurisdictions. The actual amount imposed on services provided by Spryr may vary depending on the rates in effect at the time the services are provided by the provider of Spryr Accommodation Services. In certain jurisdictions, Spryr is responsible for collecting and remitting sales, use and/or local hotel occupancy taxes for the entire price, including the amounts we charge for our services as well as the Spryr Partner.\n\n4. In certain jurisdictions, you may be responsible for paying local taxes imposed by local tax authorities (such as city taxes or tourist taxes, etc.). Spryr may charge you such local taxes. Spryr will notify you of any local taxes that will be payable by you before you complete your booking, where such taxes have been notified to Spryr by the Spryr Partner.\n\n5. The amount of local taxes can change between the booking date and stay date. If taxes have changed by your stay date, you may be liable to pay taxes at the higher rate.\n\n \n\n**IX. LIMITATION OF LIABILITY AND DISCLAIMERS**\n\n \n\n1. VCS DISCLAIMS ANY AND ALL PROMISES, REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, ANY WARRANTIES OF MERCHANTABILITY OF SPRYR ACCOMMODATION SERVICES, FITNESS OF SPRYR PARTNERSHIP FOR A PARTICULAR PURPOSE, DATA ACCURACY, SYSTEM INTEGRATION, NON-INFRINGEMENT AND/OR QUIET ENJOYMENT, AND ANY SERVICES PROVIDED BY VCS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” VCS DOES NOT MAKE ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, (A) REGARDING THE CONTENTS OF THE SPRYR PARTNERSHIP SERVICES, INFORMATION AND FUNCTIONS MADE ACCESSIBLE THROUGH THE SPRYR PARTNERSHIP SERVICES, ANY HYPERLINKS TO THIRD PARTY WEBSITES, OR THE SECURITY ASSOCIATED WITH THE TRANSMISSION OF INFORMATION THROUGH THE SPRYR PARTNERSHIP SERVICES, OR ANY WEBSITE LINKED TO THE SPRYR PARTNERSHIP SERVICES (B) THAT ACCESS TO THE SPRYR PARTNERSHIP SERVICES SHALL BE CONTINUOUS, UNINTERRUPTED, TIMELY, OR ERROR-FREE. EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, SPRYR PARTNER ACKNOWLEDGES THAT VCS MAKES NO WARRANTIES UNDER THIS AGREEMENT DIRECTLY FOR THE BENEFIT OF ANY THIRD PARTY, AND THAT VCS’S OBLIGATIONS UNDER THIS AGREEMENT ARE FOR THE BENEFIT OF THE SPRYR PARTNER ONLY, AND NOT FOR THE BENEFIT OF ANY OTHER PERSON. IN ENTERING INTO THIS AGREEMENT, SPRYR PARTNER REPRESENTS THAT IT HAS NOT RELIED UPON ANY REPRESENTATION OR WARRANTY OF VCS OR ITS AFFILIATES EXCEPT AS EXPRESSLY SET FORTH IN THESE SPRYR PARTNERSHIP TERMS AND THE AGREEMENT.\n\n2. VCS SHALL NOT BE LIABLE FOR ANY DAMAGES CAUSED IN WHOLE OR IN PART BY (A) THE MALFUNCTION, UNEXPECTED FUNCTION OR UNINTENDED FUNCTION OF ANY COMPUTER NETWORK, INCLUDING WITHOUT LIMITATION LOSSES ASSOCIATED WITH VIRUSES, HACKING OR CYBERSECURITY BREACHES; (B) ANY CHANGE IN LAW, REGULATION OR POLICY, OR (C) FORCE MAJEURE EVENT (INCLUDING BUT NOT LIMITED TO (I) ACTS OF GOD, NATURE, COURT OR GOVERNMENT; (II) FAILURE OR INTERRUPTION IN PUBLIC OR PRIVATE TELECOMMUNICATION NETWORKS, COMMUNICATION CHANNELS OR INFORMATION SYSTEMS; (III) ACTS OR OMISSIONS OF ACTS OF A PARTY FOR WHOM VCS IS NOT RESPONSIBLE; (IV) DELAY, FAILURE, OR INTERRUPTION IN, OR UNAVAILABILITY OF, THIRD PARTY SERVICES AND SITES; (V) STRIKES, LOCK-OUTS, LABOUR DISPUTES, WARS, TERRORIST ACTS AND RIOTS; AND (VI) VIRUSES, MALWARES, OTHER MALICIOUS COMPUTER CODES OR THE HACKING OF VCS SYSTEMS).\n\n3. VCS shall have no liability to each Spryr Partner in connection with its Spryr Partnership, Spryr Partnership Account for any reasonable and foreseeable loss, damage, or liability which the Spryr Partner may suffer or incur in connection with same. \n\n \n\n**X. INDEMNIFICATION**\n\n \n\n1. The Spryr Partner hereby agrees to indemnify, defend and hold VCS harmless from and against any loss or liability, including legal expenses, arising out of any and all claims, demands, debts, damages, consequential damages, losses, actions, suits, expenses or costs arising out of or in connection with incurred damage or loss in any way sustained or alleged to have been sustained in connection with the any Spryr Partnership Services purchased or provided under these Spryr Partnership Terms due to any negligent act, failing or omission on the part of Spryr Partner and/or other persons, using these Spryr Partnership Services together with the Spryr Partner and/or any such third party.\n\n\n2. The Spryr Partner will be liable for any loss or third-party claim, including cancellation charges VCS may incur as a result of any incomplete or inaccurate details in the Registration process.\n\n \n\n**XI. REGULATORY PROVISIONS**\n\n \n\nBy confirmation and acceptance of these Spryr Partnership Terms, each Spryr Partner explicitly declares that it:\n\n\na) is not in any way involved in money-laundering and/or terrorist financing and/or any other criminal activity;\n\n\nb) will not use any of the Spryr Partnership Services for any of the activities for any criminal or illegal activity and will always observe the applicable laws and regulations;\n\n\nc) will use only authorized and legal payment means;\n\n\nd) will use and pay only with funds from legitimate source;\n\n\ne) will provide only true, correct, and adequate information for any of the circumstances above, when requested by VCS.\n\n \n\n**XII. INTELLECTUAL PROPERTY**\n\n \n\n1. Unless stated otherwise, the software required for the Spryr Partnership Services, and any other material or content provided by VCS, and all intellectual property rights (including the copyrights) therein (“Intellectual Property”) are the property of VCS or its licensors and suppliers. VCS does not give any implied license for the use of the contents of the Spryr Partnership Services.\n\n\n2. VCS exclusively retains ownership of all rights, title and interest in and to the Intellectual Property and the Spryr Partner is not entitled to copy, scrape, (hyper-/deep) link to, publish, promote, market, integrate, utilize, combine or otherwise use the content (including any translations thereof and the guest reviews) or VCS brands and trademarks without the express written permission of VCS. To the extent that the Spryr Partner would (wholly or partly) use or combine VCS’s (translated) content or would otherwise own any intellectual property rights associated with the Spryr Partnership Services, the Spryr Partner hereby assign, transfer, and set over all such intellectual property rights to VCS. Any unlawful use or any of the aforementioned actions or behavior will constitute a material infringement of the intellectual property rights (including copyright and database right) of VCS.\n\n \n\n**XIII. APPLICABLE LAW**\n\n \n\nThese Spryr Partnership Terms shall be governed by and construed in accordance with the laws of Liechtenstein, without regard to conflict of law rules or principles that would cause the application of the laws of any other jurisdiction, to the extent permitted by mandatory local law (e.g. consumer protection law).\n\n \n\n**XIV. DISPUTES**\n\n \n\n1. All disputes between Spryr Partner related to any Spryr Partnership Services, Spryr Accommodation Services and/ or other relations between VCS and Spryr Partner shall be separately and independently be resolved between the Spryr Partner and VCS and VCS shall be held harmless of any such disputes.\n\n\n2. All claims and disputes affecting VCS under these Spryr Partnership Terms its interpretation, application execution or termination, shall be settled in accordance with Spryr dispute resolution process as available and accessible on the following web address: https://spryr.com/info/imprint/dispute-resolution, which is incorporated herein by this references. Further, Spryr Partners may also submit their complaints directly to Spryr at the following email address: complaint@spryr.com.\n\n \n\n**XV. MODIFICATIONS AND AMENDMENTS**\n\n \n\nVCS shall be fully entitled to modify and/or amend these Spryr Partnership Terms (and any terms and conditions incorporated herein by reference) from time to time in the sole discretion of VCS, whenever VCS finds this suitable and necessary. Any change and/ or modification to these Spryr Partnership Terms shall be announced on the Website as changes and updates shall become effective not less than seven (7) days as of the date of such announcement.\n\n \n\n**XVI. MISCELLANEOUS**\n\n \n\n1. The Spryr Partner hereby agrees that if any portion of these Spryr Partnership Terms is found illegal or unenforceable, in whole or in part, such provision shall, as to such jurisdiction, be ineffective solely to the extent of such determination of invalidity or unenforceability without affecting the validity or enforceability thereof in any other manner or jurisdiction and without affecting the remaining provisions of the Spryr Partnership Terms, which shall continue to be in full force and effect. Parties shall negotiate in good faith in order to agree on the terms of a mutually satisfactory alternate provision, which shall, to the furthest possible extent, produce the same effects.\n\n\n2. hese Spryr Partnership Terms shall be binding on Spryr Partner’s successors, heirs, personal representatives, and assigns. \n\n3. Spryr Partner and VCS are independent contractors for purposes of these Spryr Partnership Terms and the Spryr Partnership Services. Nothing in these Spryr Partnership Terms shall create any partnership, joint venture, agency, consultancy, or trusteeship.\n\n4. It is Spryr Partner’s responsibility to determine what, if any, taxes apply due to Spryr Partner’s use of Spryr Partnership Services, and it is Spryr Partner’s responsibility to report and remit the correct tax to the appropriate tax authority. \n\n5. In case of any doubt or contradiction in the documents governing the Spryr Partnership, the following hierarchy of documents shall be used in their interpretation, where each preceding document shall prevail over the next one: Terms – Agreement – Spryr Partnership Terms. \n\n \n\n**XVII. \n\n**DRAWING AND NOTIFICATION**: The potential Prize Winners will be selected in a random drawing conducted by the Administrator, whose decisions are final and binding. \n\n**PRIZES**: There will be one (1) Grand Prize two (2) First Prizes available. \n\n

\n\nThe Grand Prize Winner (“Winner”), upon the Administrator’s confirmation of eligibility, will receive a 6-day/5-night prize trip two (2) people in the Dominican Republic (the “Location”) (“Grand Prize” or “Prize”). The Grand Prize package includes: \n\n

\n\n-Two (2) roundtrip standard economy airfare tickets from a major commercial airport in the USA, near the Winner’s primary residence and the Location, as determined by Sponsor. \n\n

\n\n-Standard (all-inclusive) hotel accommodations at the Lifestyle Holidays Vacation Club for five (5) nights (double occupancy room and tax only).\n\n

\n\nThe Approximate Retail Value (“ARV”) of the total Grand Prize package is $8,430 USD, which will vary depending upon points of departure and destination and seasonal fluctuation of hotel rates and airfares. All other expenses not specifically mentioned herein, including but not limited to, airport taxes and fees, baggage fees, ground transportation not specifically delineated, food, beverages, additional hotel amenities or fees and gratuities, are the responsibility of the Grand Prize Winner and/or traveling companion. The Grand Prize Winner and their traveling companion must travel on the same itinerary. The trip must be fully executed by 12/31/25, or the Prize will be forfeited. The Grand Prize Winner and their travel companion are solely responsible for obtaining documents necessary for their respective international travel (i.e., passport and visa if applicable). \n\nEach First Prize Winner (also, Winner”) will receive either a 3-night hotel stay in Orlando or Las Vegas (“Prize” or “First Prize”). First Prize ARV - $599.\n\n

\n\nTotal Prize Pool - $9,628. The value of the Prizes set forth above represents Sponsor’s good faith determinations of the ARV thereof and such determinations are final and binding and cannot be appealed. If the actual value of a Prize is lower than the stated ARV when the Prize is procured and fulfilled, then the difference will not be awarded. All other expenses associated with Prize acceptance or usage not specifically mentioned herein are the responsibility of the Winners. No substitution or transfer of the Prize will be permitted, except by the Sponsor, who reserves the right at its sole discretion to substitute a Prize (or Prize component) with another prize of equal or greater value.\n\n

\n\n**ADDITIONAL PRIZE CONDITIONS**: By accepting a Prize, the Winners agree to release and hold harmless the Released Parties from and against any claim or cause of action arising out of participation in the Sweepstakes or receipt or use of the Prize. The potential Grand Prize Winner must sign and return to the Administrator, within seven (7) days of the date of notice or attempted notice is sent, an Affidavit of Eligibility, Liability & Publicity Release in order to claim the Prize. **Note: The Affidavit sent to the potential Grand Prize Winner will require that the Winner provide their Social Security Number to the Administrator, which will be used solely for tax reporting purposes**. The Winners will be responsible for all local, state, and federal taxes associated with the receipt of their Prize.
